Welcome to AgronomyPlus. These Terms of Service govern your use of our software-as-a-service (SaaS) platform and related services. By accessing or using AgronomyPlus, you agree to be bound by these terms.
AgronomyPlus is a product of SoilTaxPro, LLC. Throughout these Terms of Service and Privacy Policy, references to "AgronomyPlus," "we," "us," or "our" refer to SoilTaxPro, LLC and its AgronomyPlus platform.
AgronomyPlus is a subscription-based SaaS platform designed for farmland professionals (brokers, bankers, and CPAs) to generate instant residual fertility estimates from soil test data, access expert resources, build market insights, and receive exclusive discounts on agronomist-certified reports. Our platform provides tools and resources to help professionals better serve their clients with residual fertility analysis and documentation. AgronomyPlus is owned and operated by SoilTaxPro, LLC.

You are responsible for all activities that occur under your account. Subscription plans include monthly allowances for instant estimates and access to platform features as described in your selected plan. Current pricing and plan details are available on our website and may change from time to time.
Subscription Plans: AgronomyPlus offers various subscription plans with different features and allowances. Current pricing, plan details, and features are available on our website and may be updated from time to time. Each plan includes access to instant estimates, dashboard features, resource library access, and member discounts on certified reports.
Billing: Subscriptions are billed in advance according to your selected billing cycle (monthly, annual, etc.). Payment is processed automatically using the payment method on file. You are responsible for maintaining current payment information.
NO REFUNDS: All fees paid for AgronomyPlus subscriptions and services are final and non-refundable. We do not provide refunds for any reason, including but not limited to: unused subscription time, cancellation of your account, changes to our service, dissatisfaction with the platform, or any other circumstances. This policy applies regardless of when you cancel or how much of your subscription period remains.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods. Your access to the platform will continue until the end of your paid billing period.
Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of your next billing cycle. No refunds are provided for plan changes or downgrades.
Permitted Use: You may use AgronomyPlus for legitimate business purposes related to farmland analysis and client services. You may:

IP Protection: Any attempt to reverse engineer, copy, or replicate our residual fertility calculator, estimation methodologies, report generation processes, or underlying software constitutes a violation of these terms and may result in immediate termination of your account and legal action to protect our intellectual property rights.
Instant Estimates: The residual fertility estimates generated through the AgronomyPlus platform are designed for marketing purposes, internal decision-making, and client guidance. These estimates are based on our agronomic models and data but are not certified or suitable for IRS filings or tax documentation purposes.
Certified Reports: For tax documentation and IRS filings, you must order an agronomist-certified residual fertility report. These reports are reviewed by professional agronomists, include full documentation, and are prepared to withstand professional or regulatory scrutiny. Certified reports are available through the platform at subscriber-discounted rates.
Important: Always consult with qualified tax professionals before making tax-related decisions. AgronomyPlus does not provide tax, legal, or accounting advice.
Access and Use: The Resource Library is available to active AgronomyPlus members and contains articles, case studies, templates, guides, and other educational materials related to residual fertility, agronomy, and tax-related topics. Access to the Resource Library is included as part of your subscription plan.
No Warranties or Representations: While we make good faith efforts to ensure the quality, accuracy, and timeliness of content in the Resource Library, we do not represent, warrant, or guarantee the validity, accuracy, completeness, or reliability of any information, content, or materials in the Resource Library. Content is provided "as is" and "as available" without warranties of any kind, either express or implied.
Not Tax, Legal, or Accounting Advice: The Resource Library is for educational and informational purposes only. Nothing in the Resource Library constitutes tax, legal, accounting, or professional advice. You should not rely on Resource Library content as a substitute for professional advice from qualified tax professionals, attorneys, or accountants.
Content Updates and Changes: We reserve the right to add, modify, update, or remove content from the Resource Library at any time without notice. Content may become outdated or may not reflect current laws, regulations, or best practices. We are not obligated to update or maintain any specific content in the Resource Library.
Your Responsibility: You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information in the Resource Library and for consulting with qualified professionals before making any decisions or taking any actions based on such information.

All Intellectual Property Owned and Retained by SoilTaxPro, LLC: SoilTaxPro, LLC owns and retains all right, title, and interest in and to the AgronomyPlus platform, including but not limited to:
No Transfer of Ownership: Nothing in these Terms of Service grants you any ownership rights or interest in our intellectual property. All rights not expressly granted to you are reserved by SoilTaxPro, LLC. You acknowledge that the platform, residual fertility calculator, estimates, and reports contain proprietary and confidential information protected by intellectual property laws.
Prohibited Activities: You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works based on our software, residual fertility calculator, estimation methodologies, report formats, or any other intellectual property owned by SoilTaxPro, LLC.
Your Content: You retain ownership of any data, information, or content you upload to the platform. By uploading content, you grant us a license to use, store, and process that content solely for the purpose of providing our services to you.
Market Insights: Aggregate insights and analytics derived from your usage data may be used by us to improve our services, but we will not disclose your individual data or client-specific information.
We strive to maintain high availability of the AgronomyPlus platform but do not guarantee uninterrupted or error-free service. We may:

Consult a CPA or tax advisor before acting. Our platform provides agronomic analysis tools and documentation—final tax decisions should always be made in consultation with qualified tax professionals. Instant estimates are not suitable for IRS filings or tax documentation purposes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SOILTAXPRO, LLC AND ITS AGRONOMYPLUS PLATFORM TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
We are not responsible for any tax consequences, penalties, financial impacts, or business decisions resulting from the use of our platform or estimates. We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless SoilTaxPro, LLC, its AgronomyPlus platform, and their officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: (a) your use of the platform; (b) your violation of these Terms of Service; (c) your violation of any rights of any other person or entity; (d) any content or data you submit, post, or transmit through the platform; or (e) your use of any estimates or reports generated through the platform. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
By using AgronomyPlus, you grant us the right to use your name, company name, company logo, and any testimonials or feedback you provide for marketing, promotional, and publicity purposes on our website, in marketing materials, case studies, press releases, and other communications, without requiring prior written consent or compensation.

Binding Arbitration: Except for disputes that qualify for small claims court, any controversy or claim arising out of or relating to these Terms of Service, the platform, or the relationship between you and SoilTaxPro, LLC (operating the AgronomyPlus platform) shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions: Notwithstanding the foregoing, either party may bring an action in small claims court if the dispute qualifies, or seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions. The arbitration shall take place in Des Moines, Iowa, unless otherwise agreed by the parties.
Termination by You: You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@SoilTaxPro.com. Termination will take effect at the end of your current billing period.
Termination by Us: We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms of Service; (b) fraudulent, illegal, or harmful activity; (c) non-payment of fees; (d) extended periods of inactivity; or (e) any other conduct that we determine, in our sole discretion, violates these terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the platform will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, indemnification, limitation of liability, and dispute resolution.
We shall not be liable for any failure or delay in performance under these Terms of Service due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or internet failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
AgronomyPlus is intended for use by individuals who are at least 18 years of age or the age of majority in their jurisdiction. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms of Service. If you are using the platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
The platform may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the platform, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.
We may offer access to beta features, previews, or experimental functionality ("Beta Features"). Beta Features are provided "as is" and "as available" without warranties of any kind. We may discontinue Beta Features at any time, in our sole discretion. Beta Features may be subject to additional terms and conditions, which will be provided when you access such features.
You may not assign or transfer these Terms of Service or your account, in whole or in part, without our prior written consent. Any attempted assignment in violation of this section shall be void. We may assign or transfer these Terms of Service, in whole or in part, at any time without notice, including in connection with a merger, acquisition, reorganization, or sale of assets.
Severability: If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms of Service, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and AgronomyPlus regarding your use of the platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter hereof.
In the event of a data breach that compromises your personal information, we will notify you and relevant authorities as required by applicable law. We will provide notice via email to the address associated with your account or through other reasonable means. Our notification will include information about what happened, what information was affected, what we are doing to address the breach, and steps you can take to protect yourself.
AgronomyPlus is not intended for children under the age of 18. We do not knowingly collect personal information from children under 18. If you are a parent or guardian and believe your child has provided us with personal information, please contact us immediately. If we learn that we have collected personal information from a child under 18, we will delete that information promptly.

Our platform uses cookies and similar technologies to improve user experience, analyze platform usage, and provide personalized features. We use Google Analytics and other analytics tools to understand how users interact with the platform. We reserve the right to update these Terms of Service and Privacy Policy at any time. Material changes will be communicated via email or platform notification. Changes will be posted on this page with an updated effective date. Continued use of AgronomyPlus after changes constitutes acceptance of the new terms. If you do not agree to the changes, you may cancel your subscription.
